Rules and ethics

Part of Seven rules and ethics points for proposal software compliance

Proposal software: assessing workflows and records

Proposal software assessment for England sales teams: test approvals, clause control, CRM links, audit exports, data residency and retention before buying.

What to take away

  • If your team emails quotes from a shared inbox and files signed PDFs in a folder, your proposal software is a records system, not a formatting tool.
  • Most England compliance risk sits in how a proposal is sent and stored, not in the template.
  • Check consent capture, an exportable audit trail, and pricing claims that match what the buyer pays.
  • The Consumer Protection from Unfair Trading Regulations 2008 bite hardest on consumer-facing claims, so B2C quoting needs tighter wording than B2B.
  • This is general guidance, and your own contract terms need a qualified adviser.

Which rules apply to proposals sent from England?

The applicable rules include the Privacy and Electronic Communications (EC Directive) Regulations 2003 (SI 2003/2426) (PECR). The ICO's Guide to Privacy and Electronic Communications Regulations explains consent rules for electronic marketing, including email. A proposal sent to a cold prospect can be direct marketing, but whether prior consent is required depends in part on the recipient's subscriber type. Make the platform capture the source, status and time of any consent, and retain evidence of opt-outs.

Then look at the claims inside the document. The Consumer Protection from Unfair Trading Regulations 2008 cover misleading actions and pricing statements. A quote showing a headline price while hiding a mandatory setup fee is a risk in consumer sales.

For electronic records, ask whether the vendor's processes align with BS 10008, the British Standard for the evidential weight and legal admissibility of electronic information. For information security management, check whether the vendor holds ISO/IEC 27001 certification, and confirm its scope and current status. A platform that cannot show who edited a clause, or when, weakens your position in a disputed deal.

How should you assess the audit trail?

Ask the vendor to export version history for one proposal. You want timestamps, user names and clause-level changes. If the audit log lives only in the vendor's dashboard, you are renting evidence rather than owning it.

Audit trail export checklist

  • Timestamps on every clause change
  • User names for each edit
  • Clause-level change history
  • Signature linked to exact version
  • Exportable outside vendor dashboard

The same test applies to acceptance. A signature should link to the exact version the buyer saw. Ask the vendor to demonstrate an electronic-signature flow under the applicable UK eIDAS framework, and to export the signed proposal, certificate of completion and event log so acceptance can be tied to that version. If your team edits the pricing table after sending, the acceptance record must show that. For example, a ten-person team paying £600 a month for quoting software may still lose a £40,000 contract because it cannot prove which version was accepted.

Document the approval matrix: delegation-of-authority thresholds, required approvers, escalation or cover arrangements, and the treatment of discounts or non-standard clauses. Test that the platform enforces each route, including when an approval is delayed or an exception is requested.

Does the tool support your contract terms?

Most proposal platforms ship with standard terms and a fallback clause library. The question is whether your legal team can control which clauses appear for which deal size or region. If a salesperson can swap a liability CAP without approval, the software has made your risk worse.

Look for approval workflows that match your delegation of authority. Test threshold-based routing and exception approvals; the tool should enforce the difference between a £5,000 quote and a £250,000 one.

What about data location and retention?

England-based teams often assume UK data residency comes as standard. Ask the vendor to name each storage and backup location—UK, EEA or US, for example—and distinguish storage from support access. For restricted transfers outside the UK, check the UK GDPR transfer mechanism: an adequacy regulation or safeguards such as the International Data Transfer Agreement (IDTA) or the UK Addendum to the EU Standard Contractual Clauses. For US recipients, ask whether the recipient is covered by the UK Extension to the EU-US Data Privacy Framework.

Ask for the deletion process in writing. If a buyer asks for erasure, the vendor must be able to remove their data without breaking your own record-keeping duties.

How do you compare providers without a ranking?

There is no single best product, so treat Proposify, PandaDoc, Better Proposals and Qwilr as candidates for the same demonstration, not as recommendations. Ask each vendor to route a quote through approval, change a clause and version, capture acceptance, and export the resulting records. Shortlist only vendors that meet your audit, residency and approval requirements. Compare on total cost of ownership rather than headline seat price.

Integration matters too. If your CRM is HubSpot, Salesforce or Pipedrive, ask the vendor to demonstrate how the proposal tool reads the opportunity stage and keeps the proposal linked to the right opportunity. Quoting software that cannot read your CRM opportunity stage gets bypassed within a quarter.

For the 2027 buying cycle, revisit the rules that apply to marketing, claims and records, and confirm that the platform still meets your team's requirements.

Common questions

Use these questions to check how a proposal tool handles the real approval, signing and retention tasks your team relies on.

Do B2B proposals need PECR consent?

For unsolicited email marketing, PECR consent rules depend in part on whether the recipient is an individual subscriber, such as a sole trader or some partnerships, or a corporate subscriber. A legitimate interests assessment may support the UK GDPR lawful basis for processing business contact data, but it does not replace consent where PECR requires it.

Can I rely on the vendor's standard terms?

No. Those terms govern your use of the software, not the contract you send to your buyer. Your own proposal terms need separate legal review.

What is a reasonable audit retention period?

There is no single statutory figure for commercial proposals. Section 5 of the Limitation Act 1980 sets a six-year limitation period for actions founded on simple contract, which is a reference point rather than a blanket retention requirement. Follow the ICO's storage limitation guidance, set a schedule that reflects your purposes and obligations, and confirm it with an adviser.

Does this guidance apply across the UK?

PECR and the 2008 Regulations apply across the UK, but enforcement and some consumer rules differ in Scotland, Wales and Northern Ireland. This article covers England practice.
